1. Acceptance of Terms
Welcome to Kolva Seller. These Terms of Service (“Terms”) form a legally binding agreement between you and Kolva Ltd (“Kolva”, “we”, “us”, or “our”), a company registered in England and Wales, governing your access to and use of Kolva Seller (the “Service”).
By creating an account, connecting an eBay account, purchasing listing credits, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must not use the Service.
By using the Service, you represent and warrant that:
- You are at least 18 years of age
- You have the legal capacity to enter into a binding contract
- You hold a valid, active eBay seller account in good standing
- You own, or are otherwise legally entitled to sell, every item you list using the Service
2. Description of the Service
Kolva Seller is an AI-powered listing assistant that helps you create eBay listings from a photograph. You upload one or more photos of an item; our AI then drafts a complete eBay listing for your review. Specifically, the Service provides:
- Photo-to-listing drafting: Our AI identifies the item in your photo, resolves the appropriate eBay leaf category via eBay's Taxonomy API, and generates a title, description, condition, and item specifics for the listing.
- Price-band suggestions: The Service suggests a price band for the item. Today this band is derived from active eBay listings; access to eBay's Marketplace Insights (sold-listing data) is subject to eBay approval and, once available, will be used to improve pricing for harder-to-value items.
- Postage suggestions: The Service suggests a postage option and class for the item where it can.
- Review and edit: Every field of the draft — title, description, category, item specifics, condition, price, and postage — is shown to you before anything goes live. You can edit any field, and editing a delivered draft is unlimited and free.
- Publishing to your own eBay account: When you click Publish, the Service creates and publishes the listing on your own eBay account through eBay's official Sell APIs, using the OAuth authorisation you have granted. The listing, the seller fees, buyer messages, and any payouts all remain with you.
Kolva Seller is a tool that helps you prepare and publish your own listings. We are not a marketplace, an auctioneer, a reseller, or an agent of eBay, and we are never the seller of your items. We do not take title to any goods, take possession of them, handle buyer payments, or fulfil orders at any time.
3. Accounts and eBay Connection
To use the Service you must register a Kolva Seller account and link a valid eBay seller account via eBay's OAuth 2.0 authorisation flow. By linking your eBay account, you grant us permission to read category and catalogue data and to create, draft, and publish listings on your behalf, strictly within the scopes you approve at the OAuth consent screen.
You agree to:
- Provide accurate, current and complete registration information
- Keep your account credentials confidential and not share your account with others
- Maintain only one Kolva Seller account per natural person or business
- Maintain your eBay account in good standing, with seller registration complete and a valid payout method registered with eBay
- Promptly notify us of any unauthorised access at [email protected]
- Accept full responsibility for every listing published through your account, including its accuracy, legality, pricing, and the sale and fulfilment of any item that sells
You may revoke our access to your eBay account at any time from your eBay account settings or from your Kolva Seller settings. Doing so will immediately stop the Service from publishing any further listings on your behalf. Listings already live on eBay remain your listings and are unaffected.
4. Billing, Listing Credits and Refunds
Pricing
Kolva Seller is sold on a pay-as-you-go basis using credits — there is no subscription. One credit drafts one listing (one AI analysis of your photo into a complete eBay listing). The credit is consumed when the draft is delivered to you, not when you publish. Reviewing, editing, and publishing a delivered draft are free.
Re-analysing the same item within 24 hours of the original draft is free. A re-analysis more than 24 hours after the original draft costs one credit, the same as a new draft.
Credit Packs
Credits are purchased in packs. The packs currently offered are Starter (25 credits), Saver (60 credits), Pro (150 credits) and Power (500 credits); larger packs cost less per credit. Current pack prices are displayed in the Service at the time of purchase. Credits never expire but are non-transferable between accounts. New accounts receive a small number of free credits on email verification so you can try the Service before buying.
Payment Processing
All card payments are processed by Stripe Payments Europe Limited. By purchasing credits, you also agree to the Stripe Services Agreement. We do not store full card numbers on our servers.
Refunds
Because a credit pays for the AI analysis work, the position on refunds is as follows:
- If our pipeline errors before delivering a draft, or you cancel before the draft is delivered, the credit is fully refunded
- A re-analysis within 24 hours of the original draft is free of charge
- Once a draft has been delivered (i.e. you have received the analysis), the credit is not refundable — the service has been rendered — even if you choose not to publish the listing
Separately, unused and unstarted credits in a pack remain refundable for 14 days from purchase under the UK Consumer Contracts Regulations 2013, unless you have already begun consuming the digital service, which you expressly request and acknowledge by drafting any listing from that pack. We may decline or reverse refunds where we reasonably detect abuse of the refund process.
5. AI-Generated Drafts Are Advisory Only
Kolva Seller relies on large language models (currently from Anthropic PBC, and for some evaluation steps from Google LLC) to identify items, write titles and descriptions, fill item specifics, resolve categories, and suggest prices. AI is fallible. You acknowledge and agree that:
- Drafts are suggestions, not guarantees: A generated title, description, category, condition, or item specific may be inaccurate, incomplete, or unsuitable. You must review every field before publishing.
- Identification can be wrong: The AI may misidentify an item, its brand, model, or variant. You are responsible for confirming that the listing correctly and honestly describes the item you actually hold.
- Price bands are not valuations: Suggested price bands are informational estimates derived from marketplace data. They are not a guarantee of sale, of value, or of the price you will achieve. You alone set your price.
- You are responsible for what you publish: Clicking Publish is your decision. Once published, the listing is your listing on your eBay account, and you are responsible for its accuracy, legality, and compliance with eBay's policies.
6. Publishing and eBay Listing Mechanics
When you click Publish, the Service submits your reviewed listing to eBay through eBay's Sell APIs on a best-effort basis. We cannot guarantee that any given listing will be accepted or published by eBay, because of factors that include, without limitation:
- eBay API latency, throttling, downtime, or rate limiting
- Internet routing or our own infrastructure incidents
- eBay listing, selling, or category restrictions and holds applied to your account
- eBay policy checks that reject or hold a listing (for example, prohibited or restricted items)
- Incomplete or non-compliant fields that eBay requires for the chosen category
Where a publish attempt fails, the listing is not created on eBay and you can correct and retry. A failed publish does not consume an additional credit — the credit pays for the draft, not the act of publishing. The Service not publishing a particular listing is not, by itself, a basis for a refund of the underlying credit once the draft has been delivered.
7. Authorisation to Publish and Your Responsibility as Seller
When you click Publish, you expressly authorise Kolva Ltd to act as your agent for the limited purpose of creating and publishing that listing on eBay using your linked eBay account, with the content you have reviewed and approved.
Any listing published by the Service on your behalf is your listing, created under your eBay account, and is binding on you to the same extent as if you had created it in eBay yourself. If an item sells, a contract of sale is formed directly between you and the buyer, on eBay's terms. Kolva Ltd is not a party to that contract, holds no title to the goods at any point, takes no possession, handles no payment, and is not responsible for postage, fulfilment, returns, buyer service, seller fees, or any post-sale dispute.
You remain the seller of record and are solely responsible for fulfilling orders, handling buyer communications and returns, paying eBay's fees, and accounting for any tax due on your sales.
8. Acceptable Use and Unsuitable Uses
The Service is intended to help you list goods that you own and are entitled to sell. You agree not to use the Service:
- For any unlawful purpose, fraud, money laundering, or sanctions evasion
- To list, or attempt to list, any item that you do not own or are not legally entitled to sell
- To list any item that is restricted or prohibited under applicable law or under eBay's prohibited and restricted items policies, including but not limited to firearms, ammunition, controlled substances, hazardous materials, ivory, endangered species, stolen goods, or counterfeit goods. You must not attempt to bypass any safeguards the Service applies.
- To publish listings that are deliberately false, misleading, or that misrepresent an item's authenticity, condition, or provenance
- To infringe the intellectual property, trademark, or other rights of any third party in your listing content or images
- To reverse engineer, scrape, or build a competing service from the Service
- In any way that breaches eBay's User Agreement, Selling Practices Policy, or other applicable eBay policies
We reserve the right to refuse to draft or publish, or to decline service for, any item or listing we reasonably believe falls outside acceptable use, without refund of credits already consumed.
9. eBay Compliance
Kolva Seller integrates with eBay's APIs, including the Sell APIs (for creating and publishing listings) and the Taxonomy and Browse APIs (for categories and pricing data). We operate within the published terms of the eBay Developer Program, including caching, rate-limit, and data-handling rules. eBay is not affiliated with, endorsed by, or responsible for Kolva Seller.
Your use of the Service is also subject to eBay's own User Agreement, Privacy Notice, and seller policies. Where there is a conflict between our Terms and eBay's rules as they apply to your eBay account, eBay's rules govern your eBay account itself and these Terms govern your relationship with us.
If eBay revokes, suspends, or materially restricts our API access in a way that prevents the Service from drafting or publishing listings, we will notify affected users by email and refund the value of any unused credits. This is your sole and exclusive remedy against us in such an event.
10. Intellectual Property and Your Content
The Service, including its software, AI prompts, evaluation models, design, and branding, is owned by Kolva Ltd and protected by copyright, trademark and other intellectual property laws. “Kolva”, “Kolva Seller”, the Kolva logo and related marks are trademarks of Kolva Ltd. You may not copy, modify, distribute, sublicense, reverse engineer or create derivative works of the Service without our prior written consent.
Your content. You retain ownership of the photographs you upload and the listing content you publish. You grant Kolva Ltd a non-exclusive, worldwide licence to host, process, and transmit that content as necessary to provide the Service — including sending it to our AI and infrastructure providers and publishing it to eBay on your instruction. You confirm that you hold the rights necessary to grant this licence.
If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free, worldwide licence to use that feedback without obligation to you.
11. Privacy and Data
Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. In summary, we process the data necessary to draft and publish your listings, bill you, and improve the AI pipeline. Your eBay OAuth tokens are stored encrypted at rest. We do not sell your data to third parties.
12. Third-Party Services
The Service depends on the following third-party providers:
- eBay Inc. — category and listing data, and listing publication
- Anthropic PBC (and, for some evaluation steps, Google LLC) — AI identification, drafting, and evaluation
- Stripe Payments Europe Limited — card processing for credit purchases
Your use of these third-party services is at your own risk and subject to their respective terms. We are not responsible for their availability, accuracy, or practices.
13. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”.
To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade.
We do not warrant that:
- The Service will be uninterrupted, secure or error-free
- Any listing will be accepted or published by eBay
- AI-generated titles, descriptions, categories, item specifics, or price bands will be accurate or complete
- Any item you list will sell, or sell at any particular price
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or your statutory consumer rights under UK law.
14. Limitation of Liability
SUBJECT TO THE PRECEDING SECTION, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLVA LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, SALES, DATA, GOODWILL, OR ANTICIPATED SAVINGS, WHETHER ARISING FROM CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSSES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE FEES YOU HAVE PAID TO KOLVA LTD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) £100.
Without limiting the above, we are not liable for:
- Listings that eBay rejects, holds, or removes
- Items that do not sell, or the price you ultimately achieve
- Errors or omissions in a draft that you published without correcting
- eBay fees, refunds, returns, or disputes arising from a sale
- Any act or omission of eBay, Anthropic, Google, Stripe or other third-party providers
15. Indemnification
You agree to indemnify, defend and hold harmless Kolva Ltd and its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) any listing published, or item sold, via your linked eBay account; (c) your breach of these Terms or of eBay's policies; or (d) your violation of any law or any rights of a third party.
16. Suspension and Termination
Your right to terminate: You may close your Kolva Seller account at any time from your account settings. Unused, unstarted credits are refundable in line with Section 4; credits already consumed are not. Closing your Kolva Seller account does not remove listings already live on your eBay account — manage those from eBay directly.
Our right to terminate: We may suspend or terminate your account immediately, with or without notice, if we reasonably believe that:
- You have breached these Terms or eBay's policies
- You have engaged in fraudulent or illegal activity
- You have initiated a chargeback against a legitimate credit purchase
- eBay has notified us that activity from your linked account is in breach of eBay rules, or has issued a takedown demand affecting you
- Your continued use of the Service exposes us, eBay, or other users to material risk
Effect of termination: On termination, your right to use the Service ends immediately and your stored OAuth tokens are revoked. Sections that by their nature should survive termination (including liability, indemnification, intellectual property, and governing law) will continue.
17. Changes to These Terms
We may update these Terms from time to time. For minor or clarifying changes, we will update the “Last updated” date at the top of this page. For material changes — for example, changes to pricing, billing model, refund rights, AI providers handling your data, or limitation of liability — we will notify you by email at the address associated with your account at least fourteen (14) days before the changes take effect.
Continued use of the Service after the effective date constitutes acceptance of the new Terms. If you do not agree to the changes, you should stop using the Service and close your account before the effective date; any unused credits will be refunded in that case.
18. Governing Law and Disputes
Governing law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales.
Informal resolution: Before bringing any formal claim, you agree to contact us first at [email protected] and to attempt to resolve the dispute informally for at least thirty (30) days.
Jurisdiction: Subject to the above, the courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.
Consumer rights: If you are a consumer resident in the UK or EU, you retain the benefit of any mandatory consumer-protection rules of your country of residence that cannot be derogated from by contract.
19. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, form the entire agreement between you and Kolva Ltd in respect of the Service.
- Severability: If any provision is found invalid or unenforceable, the remainder of the Terms remains in full force.
- No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our consent. We may assign or novate these Terms to an affiliate or to a successor in connection with a corporate reorganisation or sale of substantially all our assets.
- Force majeure: We are not liable for failure to perform caused by events beyond our reasonable control, including third-party API outages and acts of government.
- No third-party rights: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
