Terms of Service

1. Acceptance of Terms

Welcome to KolvaSniper. These Terms of Service (“Terms”) form a legally binding agreement between you and Kolva Ltd (“Kolva”, “we”, “us”, or “our”), a company registered in England and Wales, governing your access to and use of KolvaSniper (the “Service”).

By creating an account, connecting an eBay account, purchasing hunt credits, or otherwise using the Service, you confirm that you have read, understood, and accepted these Terms. If you do not agree, you must not use the Service.

By using the Service, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding contract
• You are using the Service for your own personal, consumer purposes
• You hold a valid, active eBay account in good standing

2. Description of the Service

KolvaSniper is an AI-powered buying assistant that helps consumers find and acquire goods on eBay. The Service combines natural-language search, automated re-scanning, and (subject to applicable third-party approvals) automated bidding. Specifically, the Service provides:

• Natural-language hunts: You describe what you want in plain English; our AI translates your request into structured search queries against the eBay Browse API.
• AI evaluation: Our AI ranks listings, attempts to detect counterfeits or suspicious sellers, and surfaces the best candidates.
• Watch mode: Each hunt automatically re-scans eBay for new matching listings for two (2) weeks from creation.
• Bid suggestions: For auction listings, our AI suggests a maximum bid based on historical sold-listing data and your stated budget.
• Snipe scheduling: When you approve a snipe, the Service queues a bid to be placed in the final seconds of the auction (target T-6 seconds).
• Best Offer assistance: The Service can recommend Best Offer amounts for fixed-price listings that accept offers.
• Bid execution: Once we have received eBay Partner approval and you have connected your eBay account via OAuth, the Service places approved bids on your behalf via eBay's Offer API. Until that approval is in place, bid execution is simulated for development purposes and you will be clearly informed when this is the case.

KolvaSniper is a personal consumer tool. We are not a marketplace, an auctioneer, an agent of eBay, or a party to any sale. We do not take title to any goods at any time.

3. Accounts and eBay Connection

To use the Service you must register a KolvaSniper account and link a valid eBay account via eBay's OAuth 2.0 authorisation flow. By linking your eBay account, you grant us permission to perform searches, retrieve listing data, and (where applicable) place bids and offers on your behalf, strictly within the scopes you approve at the OAuth consent screen.

You agree to:

• Provide accurate, current and complete registration information
• Keep your account credentials confidential and not share your account with others
• Maintain only one KolvaSniper account per natural person
• Maintain your eBay account in good standing, with sufficient buying limits and a valid payment method registered with eBay
• Promptly notify us of any unauthorised access at [email protected]
• Accept full responsibility for all activity under your account, including any bids placed, offers made, and purchases completed

You may revoke our access to your eBay account at any time from your eBay account settings. Doing so will immediately disable bidding and watch mode for any active hunts.

4. Billing, Hunt Credits and Refunds

Pricing

KolvaSniper is sold on a pay-per-hunt basis. The current price is £0.50 per hunt, which entitles you to:

• One AI-parsed search across the connected eBay marketplace
• Ranked, evaluated results for that search
• Two (2) weeks of automatic watch-mode re-scans for new matching listings
• Unlimited snipe scheduling and Best Offer suggestions for items surfaced by that hunt

Hunt Credit Packs

Hunt credits are purchased in packs of 5, 25 or 100. Pack prices are displayed in the Service at the time of purchase. Credits do not expire but are non-transferable between accounts.

Payment Processing

All card payments are processed by Stripe Payments Europe Limited. By purchasing credits, you also agree to the Stripe Services Agreement. We do not store full card numbers on our servers.

Refunds

Hunt credits are non-refundable once a hunt has been started (i.e. once the AI has parsed your query and dispatched the search to eBay). Unused, unstarted credits in a pack remain refundable for 14 days from purchase under the UK Consumer Contracts Regulations 2013 unless you have already begun consuming the digital service, which you expressly request and acknowledge by initiating any hunt from that pack.

We will additionally refund hunt credits in the following circumstances:

• The Service experiences a verifiable, prolonged outage that prevents your hunt from running
• eBay revokes our API access in a manner that disables watch mode for your active hunts (see Section 9)
• A hunt fails entirely on our side before any results are returned

A failed bid attempt (see Section 6) does not consume an additional credit; the underlying hunt credit is not refunded merely because a specific bid failed or because you did not win the auction.

6. Bid Execution and Auction Mechanics

For approved snipes, the Service attempts to submit your bid to eBay approximately six (6) seconds before auction end. We do this on a best-effort basis. We cannot guarantee that any given bid will be received, accepted or registered by eBay because of factors that include, without limitation:

• eBay API latency, throttling, downtime, or rate limiting
• Internet routing or our own infrastructure incidents
• eBay's auction-end auto-extension behaviours on certain categories
• Buyer-side limits or holds applied by eBay against your account
• Listing changes, cancellations or relistings by the seller
• Daily eBay Browse API call quotas (currently 5,000/day) being exhausted

Where a snipe attempt fails entirely (i.e. no bid was successfully transmitted to eBay), the failure will be logged and is not separately billable. Winning fewer auctions than you hoped is not, by itself, a basis for a refund or a claim against us.

For Best Offer assistance, the Service does not negotiate autonomously: you approve each offer amount before it is sent, and you are responsible for honouring any offer the seller accepts.

7. Authorisation to Bid and Formation of Sale

When you approve a snipe (by setting a maximum bid and confirming the snipe in the Service), you expressly authorise Kolva Ltd to act as your agent for the limited purpose of placing that bid on eBay using your linked eBay account.

Any bid submitted by the Service on your behalf is your bid, made under your eBay account, and is binding on you to the same extent as if you had typed it into eBay yourself. If you win the auction, a contract of sale is formed directly between you and the seller, on eBay's terms. Kolva Ltd is not a party to that contract, holds no title to the goods at any point, takes no possession, and is not responsible for the seller's performance, the condition of the goods, delivery, or any post-sale dispute.

You are responsible for paying the seller in line with eBay's payment rules and for resolving any disputes through eBay's Money Back Guarantee or other available channels.

8. Acceptable Use and Unsuitable Uses

The Service is intended for personal, consumer use by adults shopping for themselves or for members of their household. You agree not to use the Service:

• For any unlawful purpose, fraud, money laundering, or sanctions evasion
• For enterprise procurement, supply-chain sourcing, or any other commercial-scale buying programme — KolvaSniper is a consumer tool and is not licensed, sized, or supported for business procurement
• For dropshipping operations, arbitrage businesses, or any activity that resells acquired items in competition with Kolva Ltd or its affiliates
• To bid on, search for, or attempt to acquire any item that is restricted or prohibited under applicable law or under eBay's prohibited and restricted items policies, including but not limited to firearms, ammunition, controlled substances, hazardous materials, ivory, endangered species, stolen goods, or counterfeit goods. Our category filters reject many of these automatically; you must not attempt to bypass those filters.
• To harass sellers, manipulate auction prices, or engage in shill or retaliatory bidding
• To reverse engineer, scrape, or build a competing service from the Service
• In any way that breaches eBay's User Agreement, Buying Practices Policy, or other applicable eBay policies

We reserve the right to cancel, refuse, or unwind any hunt or snipe that we reasonably believe falls outside acceptable use, without refund of credits already consumed.

9. eBay Compliance

KolvaSniper integrates with eBay's public APIs, including the Browse API and (subject to approval) the Offer API. We operate within the published terms of the eBay Developer Program, including caching, rate-limit, and data-handling rules. eBay is not affiliated with, endorsed by, or responsible for KolvaSniper.

Your use of the Service is also subject to eBay's own User Agreement, Privacy Notice, and policies. Where there is a conflict between our Terms and eBay's rules as they apply to your eBay account, eBay's rules govern your eBay account itself and these Terms govern your relationship with us.

If eBay revokes, suspends, or materially restricts our API access in a way that prevents the Service from delivering active hunts or watch-mode re-scans, we will notify affected users by email and refund the pro-rata value of unused hunt credits and any active hunt that has been cut short. This is your sole and exclusive remedy against us in such an event.

10. Intellectual Property

The Service, including its software, AI prompts, evaluation models, design, and branding, is owned by Kolva Ltd and protected by copyright, trademark and other intellectual property laws. “Kolva”, “KolvaSniper”, the Kolva logo and related marks are trademarks of Kolva Ltd. You may not copy, modify, distribute, sublicense, reverse engineer or create derivative works of the Service without our prior written consent.

If you provide feedback or suggestions about the Service, you grant us a perpetual, royalty-free, worldwide licence to use that feedback without obligation to you.

11. Privacy and Data

Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. In summary, we process the data necessary to run hunts, place bids on your behalf, bill you, and improve the AI evaluation pipeline. Your eBay OAuth tokens are stored encrypted at rest. We do not sell your data to third parties.

12. Third-Party Services

The Service depends on the following third-party providers:

• eBay Inc. — listing data and bid execution
• Anthropic PBC — AI query parsing, ranking, evaluation, and bid advice
• Stripe Payments Europe Limited — card processing for hunt credit purchases

Your use of these third-party services is at your own risk and subject to their respective terms. We are not responsible for their availability, accuracy, or practices.

15. Indemnification

You agree to indemnify, defend and hold harmless Kolva Ltd and its officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) any bid, offer or purchase made via your linked eBay account; (c) your breach of these Terms or of eBay's policies; or (d) your violation of any law or any rights of a third party.

16. Suspension and Termination

Your right to terminate: You may close your KolvaSniper account at any time from your account settings. On closure, any active hunts and queued snipes will be cancelled. Unstarted hunt credits in unopened packs are refundable in line with Section 4; started hunts and consumed credits are not.

Our right to terminate: We may suspend or terminate your account immediately, with or without notice, if we reasonably believe that:

• You have breached these Terms or eBay's policies
• You have engaged in fraudulent or illegal activity
• You have initiated a chargeback against a legitimate hunt-credit purchase
• eBay has notified us that activity from your linked account is in breach of eBay rules, or has issued a takedown demand affecting you
• Your continued use of the Service exposes us, eBay, or other users to material risk

Effect of termination: On termination, your right to use the Service ends immediately, queued snipes are cancelled, and OAuth tokens are revoked. Sections that by their nature should survive termination (including liability, indemnification, intellectual property, and governing law) will continue.

17. Changes to These Terms

We may update these Terms from time to time. For minor or clarifying changes, we will update the “Last updated” date at the top of this page. For material changes — for example, changes to pricing, billing model, refund rights, AI providers handling your data, or limitation of liability — we will notify you by email at the address associated with your account at least fourteen (14) days before the changes take effect.

Continued use of the Service after the effective date constitutes acceptance of the new Terms. If you do not agree to the changes, you should stop using the Service and close your account before the effective date; any unstarted hunt credits will be refunded in that case.

18. Governing Law and Disputes

Governing law: These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) are governed by and construed in accordance with the laws of England and Wales.

Informal resolution: Before bringing any formal claim, you agree to contact us first at [email protected] and to attempt to resolve the dispute informally for at least thirty (30) days.

Jurisdiction: Subject to the above, the courts of England and Wales have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

Consumer rights: If you are a consumer resident in the UK or EU, you retain the benefit of any mandatory consumer-protection rules of your country of residence that cannot be derogated from by contract.

19. General Provisions

• Entire agreement: These Terms, together with the Privacy Policy, form the entire agreement between you and Kolva Ltd in respect of the Service.
• Severability: If any provision is found invalid or unenforceable, the remainder of the Terms remains in full force.
• No waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: You may not assign these Terms without our consent. We may assign or novate these Terms to an affiliate or to a successor in connection with a corporate reorganisation or sale of substantially all our assets.
• Force majeure: We are not liable for failure to perform caused by events beyond our reasonable control, including third-party API outages and acts of government.
• No third-party rights: A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them.
